TaxClosers / Legal
Version 2026-10-29. Effective October 29, 2026.
These Terms are a contract between you and CloserDrop LLC, the company that runs TaxClosers ("TaxClosers", "we", "us"), a limited liability company formed in Illinois. You accept them by checking the box and clicking the button at signup or checkout. If you do not agree, do not use TaxClosers.
PLEASE READ SECTION 14. IT REQUIRES INDIVIDUAL ARBITRATION AND WAIVES JURY TRIALS AND CLASS ACTIONS.
1.1 You must be at least 18, and you must work for a tax resolution firm that has an attorney, CPA or enrolled agent on staff who handles IRS representation under Circular 230 (31 CFR Part 10).
1.2 Everything you tell us at signup must be true: your name, your firm's legal name, your credential type (enrolled agent, CPA or attorney), the credential number, the state that issued it (CPA or attorney), your email and your phone. You keep it current. We may check it against the IRS Directory of Federal Tax Return Preparers, a state CPA board or a state bar.
1.3 We check every new buyer before its first order. Your firm's legal name is added to the public list of firms on taxtruce.com before you can buy. Consumers see that list when they agree to be contacted.
1.4 We do not sell to any firm, owner or manager named in an FTC or state attorney general action about tax relief or debt relief. You tell us right away if that ever becomes true for you.
1.5 One person per account. You are responsible for everything done under your login.
2.1 Leads. A lead is a record of a consumer who asked for help with a tax debt or a tax problem and agreed to be contacted. Each product shows the lead count, the age ranges, the states and the price before you pay. Packs fill only from the states you pick.
2.2 Shared leads and how many times they sell. Shared leads are not real time, and the same lead can go to more than one firm. A fresh shared lead (under 30 days old) is sold to no more than 3 firms. An aged lead (30 days to 2 years old) is sold to no more than 6 firms in total, and it costs less. Single buyer leads and live transfers are sold to one firm only. We never sell a lead older than 2 years. Ages are counted from the date the consumer made the request. Every lead shows how many times it was sold before you buy.
2.3 No results promised. We do not promise that a consumer will answer, hire you, qualify for any IRS or state program, or still need help. Contact rates, cases and fees are not guaranteed.
2.4 Lead types we sell are listed in the store. We may add, change or stop any lead type or product.
2.5 Prices. A lead's price depends on its type, its age, the amount owed and how many times it was sold before. Prices are shown at checkout and may change over time. The price you see at checkout is the price you pay.
2.6 Live transfers. A transfer is billable only when the call lasts at least 120 seconds, from our call log. A transfer is never sold twice.
2.7 Data leads. Data leads come from public records, such as recorded tax liens. They are not consumer requests and carry no consent to be called or texted. Data leads are not a consumer report under the Fair Credit Reporting Act. You may never use them to decide on credit, a job, renting a home or insurance. Attorneys get data leads as mail only, with no phone. You must follow every mail, call and text law for data leads, including Do Not Call rules.
3.1 Leads are licensed, not sold. When your payment clears, you get a non transferable license to contact each lead about tax resolution services your firm offers.
3.2 No resale. You may not resell, share, rent, give away, publish, or upload leads to any other list, lead marketplace, other firm or AI training set. You may store them in your own CRM.
3.3 The license ends right away if your payment is refunded, reversed, disputed or charged back. When it ends you must stop using those leads and delete them.
3.4 If a consumer tells you to stop, in any words, you must stop contacting them and tell us within 5 days through the opt out button in TaxClosers.
4.1 You alone are responsible for every call, text, email, letter and voicemail you make to a lead, including calls made with the TaxClosers dialer. This includes the Telephone Consumer Protection Act, the Telemarketing Sales Rule (including its debt relief rules, advance fee rules and disclosure rules), the National Do Not Call Registry, state do not call lists, state telemarketing and autodialer laws (including Florida, Oklahoma and Maryland), state debt relief, debt settlement and debt adjusting laws, calling hour limits, call frequency caps, recording consent laws, CAN SPAM, Circular 230 and the FTC Impersonation Rule.
4.2 Our dialer shows the lead's local time and blocks calls outside their state's calling hours. It blocks any number you mark Do not call, on all of your leads. It never dials by itself: you tap Call each time, and the call goes out from your own phone and number. You are still responsible for DNC rules. These tools are a help, not legal advice, and do not move your duties to us.
4.3 You will not use any prerecorded, artificial or AI voice, or any auto dial feature, on a lead unless you have the consent the law requires for it.
4.4 You will keep every credential and registration your work needs active in every state where you work.
4.5 Banned claims. You will never, in any call, text, email, letter, ad or page:
4.6 You will give every consumer your fees and what is refundable in writing before they pay you.
4.7 Complaints. We keep a complaint inbox. If we get 2 consumer complaints about your firm's conduct, or 1 complaint that your firm posed as the IRS or a government agency, your account is paused right away while we look into it. A paused account cannot buy or open leads. We may close the account and tell regulators when the law requires it.
4.8 You will answer our questions about a complaint within 5 business days and keep call records and consent records for every lead for at least 5 years.
5.1 You pay by card through our secure payment processor. You authorize us to charge the card you give us for every order you place and for your subscription.
5.2 All prices are in US dollars. Taxes are added when required.
5.3 Wallet credit is prepaid credit for leads. Wallet credit never expires. It has no cash value, cannot be withdrawn, and is not refundable. There are no wallet bonuses.
5.4 Every lead is paid for. There are no signup credits or first order bonuses unless a written offer from us says so.
6.1 Leads are digital goods delivered to your account right after payment. ALL SALES ARE FINAL. NO REFUNDS.
6.2 Your only remedy for a bad lead is the Bad Number Credit in Section 7. It replaces every other remedy for lead quality.
7.1 If a phone number in your order is disconnected or not in service, you may ask for a credit within 72 hours of delivery using the "Report bad number" button.
7.2 We check the number. If it is disconnected, we give you a replacement lead or wallet credit for that lead's price. Credit, not cash. Never cash back.
7.3 These do NOT qualify: no answer, voicemail, busy, the person changed their mind, owes less than they said, already hired a firm, is not interested, or a number on a do not call list.
7.4 Credits are capped at 10% of the leads in a pack.
8.1 The TaxClosers CRM includes the dialer at no extra charge for as long as your CRM plan is active.
8.2 Price. If you start the CRM within 3 days of creating your account, you pay $19.99 a month, and that price stays the same for as long as your plan stays active. If you start after 3 days, or cancel and start again later, you pay $49.99 a month. Team leaders pay for a Team CRM plan on the same terms.
8.3 AUTO RENEWAL. Your plan renews every month and your card is charged on the same day each month until you cancel. We email a receipt after every charge.
8.4 Cancel any time online in one click: Settings, Billing, Cancel plan, or the cancel link in any billing email. You can also cancel by email to support@taxclosers.com, by phone or in chat. A cancel request from any of these stops all future charges, and we email a cancel confirmation with a cancel number. You keep access until the end of the month you paid for. Past charges are not refunded.
8.5 We will email you at least 30 days before any price change to your plan. You can cancel before it takes effect.
8.6 Free days. A new account can use the CRM free for 3 days. No card is taken for the free days and nothing renews by itself after them: a paid plan starts only when you pay for it yourself in checkout.
9.1 If any payment fails, is late, is reversed, or is disputed, we pause your account right away. While paused you cannot buy leads, open leads, use the CRM or use the dialer.
9.2 Your own notes and contacts that you typed in yourself stay safe. You can export them.
9.3 When the full balance is paid, your account turns back on by itself, except as Section 9.7 says.
9.4 Contact us first. If you have a problem with a charge, you agree to contact TaxClosers support at support@taxclosers.com before disputing it with your bank, and to give us 30 days to fix it. This does not take away any right you have under the Fair Credit Billing Act or other law.
9.5 A chargeback or dispute for a purchase you made or allowed is a material breach of these Terms. If it is decided against us, the full amount stays owed, your lead license for that order ends (Section 3.3), and you owe a $50 dispute processing fee that covers our processor and staff costs. We may send unpaid amounts to collections.
9.6 We keep records of your acceptance of these Terms, your logins, your purchases and your use of each lead, and we may give them to card networks, banks and our payment processor to respond to any dispute.
9.7 An account that files a chargeback is closed. We may reopen it at our choice.
10.1 A team leader may get a share of what their team pays for leads, under a separate Leader Agreement.
10.2 The team or person who referred you is set when your account is created and cannot be changed except by us.
10.3 Commission is paid only on money we keep. If a payment is refunded or disputed, up to 120 days later, the commission on it is taken back from future payouts.
11.1 We may suspend or close your account if you break these Terms, misuse leads, harm consumers, get a complaint under Section 4.7, or do anything that puts us at legal risk.
11.2 We may change the service. We will tell you about big changes by email or in the app.
THE SERVICE AND ALL LEADS ARE PROVIDED "AS IS". TO THE FULL EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON INFRINGEMENT.
13.1 OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR LOST PROFITS OR INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES.
13.2 You will defend and pay us for any claim, fine, penalty or cost (including lawyer fees) that comes from your calls, texts, emails, letters, fees, credentials, claims to consumers, or use of leads, or from your breach of these Terms.
13.3 Any claim against us must be brought within 1 year after it arose.
14.1 Any dispute between you and us will be decided by binding individual arbitration under the Federal Arbitration Act, run by the American Arbitration Association under its Commercial Rules. Arbitration means a neutral arbitrator decides, not a judge or jury.
14.2 YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL AND TO BRING OR JOIN A CLASS, GROUP OR REPRESENTATIVE ACTION.
14.3 Either side may use small claims court instead. We may also sue in court to collect money you owe us.
14.4 If 25 or more similar claims are filed by the same lawyers, they will be heard in batches of 25.
14.5 If the class waiver is found unenforceable, the class claim goes to court and this section still applies to everything else.
15.1 Illinois law governs these Terms. Courts in Cook County, Illinois decide anything that is not arbitrated.
15.2 Each side pays its own lawyer fees, except that the winning side in a collection action or a breach of Section 3 or 4 may recover reasonable fees, and this applies both ways.
15.3 You agree to get notices and records electronically. Your click is your signature under the E SIGN Act.
15.4 We may update these Terms. If we do, you will be asked to accept the new version before you keep using TaxClosers.
15.5 If any part of these Terms is invalid, the rest stays in force.
